1. Who These Terms Apply To
These Terms of Use govern access to and use of the Sprout Behavioral Health Services website (SproutBHS.com), member portal, and all digital products purchased through the site. By visiting the site, creating an account, or purchasing a product, you agree to these terms. If you do not agree, do not use the site.
"Sprout," "we," "us," or "our" means Sprout Behavioral Health Services LLC, a Wyoming limited liability company.
2. Use of the Site and Portal
Permitted use
You may use this site and portal for lawful purposes consistent with these terms. Permitted uses include browsing content, purchasing digital products, accessing purchases through the portal, and booking consultations or coaching sessions.
Prohibited use
You may not:
- Use the site in any way that violates applicable law or these terms
- Attempt to gain unauthorized access to accounts, systems, or data
- Scrape, index, or reproduce site content for redistribution without written permission
- Impersonate another person or entity
- Transmit malware, spam, or unauthorized automated requests
- Use the site or portal to send protected health information (PHI), child-identifying clinical data, or sensitive behavioral data of any kind
3. Accounts
When you create a portal account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@SproutBHS.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these terms.
4. Digital Products
License
Purchase of a digital product grants you a limited, non-exclusive, non-transferable license to use the product under the terms of the Digital Product License. The license is personal to you. You may not distribute, resell, sublicense, or share purchased products.
Delivery
Digital products are delivered via the member portal. You are responsible for downloading and retaining your purchases. We do not guarantee indefinite access to the portal or to specific product files.
No clinical service
Digital products are educational tools only. Purchase does not create a clinical relationship, a treatment relationship with any child, or an obligation by Sprout to provide individualized clinical advice.
5. Intellectual Property
All content on this site — including text, graphics, product files, templates, data sheets, course content, branding, and design — is owned by or licensed to Sprout Behavioral Health Services LLC and is protected by copyright and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from site content except as expressly permitted by a purchased product license or written agreement.
6. Disclaimer of Warranties
The site, portal, and all products are provided as is and as available, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the site will be uninterrupted or error-free, or that any product will produce specific clinical or behavioral outcomes for any child.
No product, resource, or content on this site is a substitute for individualized assessment, diagnosis, or treatment by a licensed clinician.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Sprout and its owner shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the site, portal, or products — including, without limitation, any claim related to a child's behavior, treatment, or safety.
Our total liability for any claim arising from these terms or your use of the site shall not exceed the amount you paid for the specific product or service giving rise to the claim.
8. Indemnification
You agree to indemnify and hold harmless Sprout, its owner, and its representatives from any claims, damages, losses, or expenses (including legal fees) arising from your use of the site or products, your violation of these terms, or your violation of any third party's rights.
9. Third-Party Links and Services
The site may contain links to third-party websites or integrate third-party services (Cal.com, Stripe, etc.). Sprout is not responsible for the content, policies, or practices of any third-party service. Links do not constitute endorsements.
10. Privacy
Use of the site is also governed by our Privacy Policy. By using the site, you consent to data practices described in the Privacy Policy.
11. Changes to These Terms
We may update these terms at any time. Continued use of the site after changes are posted constitutes acceptance of the updated terms. Material changes will be noted with a revised effective date.
12. Governing Law and Disputes
These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law provisions. Any dispute arising from these terms or your use of the site that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association in Wyoming, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
13. Termination
We reserve the right to suspend or terminate your access to the site or portal at any time for violation of these terms, with or without notice. Provisions that by their nature should survive termination (disclaimer, limitation of liability, IP ownership, governing law) will survive.
